1. Payment: As mentioned in proforma. Any additional levies, taxes and any other charges not included in the commercial will be extra. ANY DELAY IN PAYMENT WILL BE SUBJECTED TO INTEREST @ 2.5% PER MONTH. If all supply is completed from us & if there is any delay in installation from the buyer then 100 % payment is to be released immediately.
2. All payments for Supply of racking system to be made in the name of VERTICAL FACTORY STORAGE.
3. Taxes : will be at the rate prevailing at the time of dispatch. Any change in the tax structure will be to the buyers account
4. Special Note : This is a customised project installation and not a project on fixed system,. All extra material will have to be sent back to office / plant of VFS – for which the client has to provide necessary documentation.
5. Escalation: In case of any escalation in steel prices buyer will be charged proportionately
6. Insurance : Buyer is expected to cover the transit insurance of goods. Our liability shall cease from the moment the goods are handed over to the buyer or his nominee or to the carrier arranged by us on behalf of the buyer. In the event of any damage in transit including during loading unloading or shortages, the buyer shall lodge the claim with the insurance company directly and also comply with the claim formalities.
7. Installation charges mentioned above is based on site readiness : In case the site is not ready and our team has to visit or stay unduly extended time the entire cost will be on the customers account.
8. Floor Load Bearing Capacity : It is the Purchaser’s responsibility to verify that his building will support any loads placed on it by equipment furnished by VFS. On request VFS will provide appropriate point loading diagram, which will reflect these loads to the Purchaser. VFS will not assume any responsibility for the Purchaser’s building integrity. Any building modifications required will be made by Purchaser, or contractors hired by Purchaser.
9.Warranty : We shall repair or replace at our option, free of cost, on Ex-works basis the whole or any portion of material which under normal and proper use and maintenance proves defective in material and/or workmanship within 12 months from the date of commissioning or 18 months from the date of shipment of material whichever is earlier, provided prompt notice is given of such defects.
10. Delay of Cancellation : Orders once placed cannot be cancelled without prior consent in writing from us. Cancellations are subject to penalty and reimbursement of all cost borne depending on the status of order. All cost incurred will be borne by buyer in case of any delay because of suspension of work due to unavailability of space or readiness of installation site. Storage charge will be taken @ 2.5% for each week or part there of for the delay in lifting material.
11. Reservation of Title: The product shall remain the property of VFS, until we have received full payment.
12. Transportation: Customer to provide requisite way bill and road permit where ever applicable. Unloading to be organized by the customer and not in our scope of work.
13. Validity : Offer is valid only for 15 days
14. General Terms: Materials to be counted & received by an authorized person of the company and the material to be secured by the customer. Proper lighting & power should be provided for the installation team to work day & night Adequate assembling area to be provided, within a range of 45 to 50 feet from the Installation area Material should be made available within 100 feet from the place of installation. Unhindered working in the installation area. Other work (e.g. electrical, civil, etc.) if any, should not come in the way of our personnel working on the installation. A safe and secure room for our working personnel for the safekeeping of their equipment should be provided. This room should preferably be close to the working area. Installation team should be allowed to work for 8 to 12 hours a day, holidays and Sunday if required. Certificate of completion to be issued on completion of Installation.
